Terms of Service

The binding agreement for using RouteOn. Last updated October 17, 2026.

1. Agreement and acceptance

These Terms of Service (the "Terms") form a legally binding agreement between RouteOn ("RouteOn", "we", "us") and the business entity that creates an account or accepts an order form (the "Customer", "you"). By creating an account, clicking to accept, signing an order form or using the Service, you agree to these Terms. If you accept on behalf of a company, you represent that you have authority to bind it.

If you do not agree, do not use the Service. The Service is intended for business use only and not for consumers acting for personal, family or household purposes.

2. Definitions

  • Service — the RouteOn web application, driver mobile apps, browser extension, APIs, integrations and related documentation.
  • Authorized Users — your employees and contractors (owners, admins, dispatchers, accountants, staff) you permit to use the Service.
  • Drivers — chauffeurs or drivers you invite to the driver app.
  • End Customers — your passengers, clients, corporate accounts and affiliates whose information you place in the Service.
  • Customer Data — all data you, your Authorized Users, Drivers or End Customers submit to the Service.
  • Order — the plan, quantities and fees selected in-app or on a signed order form.

3. Accounts and access

You must provide accurate registration information and keep it current. You are responsible for all activity under your workspace, for keeping credentials confidential, and for assigning appropriate roles. Notify us promptly at hello@routeon.app of any unauthorized access.

Subject to these Terms and payment of fees, we grant you a non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Service for your internal business operations.

4. Acceptable use

You will not, and will not permit anyone to:

  • use the Service in violation of any law, including transportation, consumer protection, privacy, anti-spam (CASL, CAN-SPAM, TCPA) and payment card rules;
  • send unsolicited or unlawful messages, or message people without a lawful basis or required consent;
  • upload malware, probe, scan or test vulnerabilities, or circumvent security, rate limits or tenant isolation;
  • reverse engineer, copy, resell, sublicense or build a competing product from the Service;
  • access another customer's data or misrepresent your identity;
  • use the Service to store data you have no right to process.

We may suspend access that we reasonably believe threatens the Service, other customers or the public, and will notify you when practical.

5. Your transportation operations

RouteOn is software only. We are not a carrier, broker, dispatcher, employer of drivers or transportation provider. You are solely responsible for your transportation services, including licensing, operating authority, insurance, vehicle safety and maintenance, driver qualification, hours-of-service compliance, pricing, taxes, contracts with End Customers and affiliates, and payments to drivers and affiliates.

Routing, distance, ETA, flight, pricing suggestions, AI-generated drafts and data checks are aids only and may be inaccurate. You must review them before relying on them. You are responsible for every quote, contract, invoice and message you send through the Service.

6. Drivers, location and telematics

The driver app may collect location data while a driver is on duty or on an active trip, and you may connect telematics providers. You are responsible for informing Drivers, obtaining any consent required by law or employment agreements, and using location data only for lawful operational purposes. Drivers can control device permissions at any time.

7. Messages and communications

The Service can send email, SMS, push and WhatsApp messages on your behalf. You control which messages are enabled and are the sender of record for messages to End Customers and Drivers. You must have a lawful basis for every message, honor opt-outs, and comply with third-party channel policies (including Meta and carrier rules). Your own WhatsApp or messaging credentials remain your responsibility.

8. Fees, billing and taxes

You will pay the fees in your Order. Unless stated otherwise, subscriptions are billed in advance monthly or annually, renew automatically for the same term, and fees are non-refundable except where required by law or expressly stated. We may change pricing on at least 30 days' notice, effective at your next renewal.

Fees exclude taxes; you are responsible for all applicable sales, GST/HST/PST, VAT and similar taxes except taxes on our income. Overdue amounts may incur interest of 1.5% per month or the maximum lawful rate, whichever is lower, and we may suspend the Service after 15 days' written notice of non-payment.

Payments you collect from End Customers through connected processors (such as Stripe or Square) are governed by your agreement with that processor. RouteOn does not hold your funds and is not responsible for chargebacks, refunds or processor fees.

9. Trials and beta features

Trials and features labeled beta, preview or early access are provided free of charge "as is", may be changed or discontinued at any time, and are excluded from any service commitment. Data in a trial workspace may be deleted 30 days after the trial ends if you do not subscribe.

10. Customer Data and privacy

As between the parties, you own all Customer Data. You grant us a limited licence to host, process, transmit and display Customer Data only to provide, secure, support and improve the Service and as required by law. We will not sell Customer Data and will not use it to train AI models offered to third parties.

We process personal information within Customer Data as your service provider/processor in accordance with our Privacy Policy and, where applicable, a data processing agreement available on request. You are responsible for providing any notices to and obtaining any consents from End Customers and Drivers.

We may use aggregated, de-identified usage data that does not identify you or any individual to operate and improve the Service.

11. Security

We maintain reasonable administrative, technical and physical safeguards designed to protect Customer Data, including encryption in transit, tenant isolation and access controls, as described on our Trust page. We will notify you without undue delay after becoming aware of a security breach affecting your Customer Data.

12. Third-party services

The Service interoperates with third-party products (for example payment processors, mapping, telematics, accounting, email providers, messaging platforms and booking channels). Your use of those products is governed by their terms. We are not responsible for third-party services, their availability or how they handle data you choose to share with them.

13. Intellectual property and feedback

We and our licensors own all rights in the Service, including software, designs and documentation. No rights are granted except as expressly stated. If you provide suggestions or feedback, we may use them without restriction or obligation to you.

14. Confidentiality

Each party will protect the other's non-public business, technical and financial information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers who need to know and are bound by similar obligations, or as required by law (with prompt notice where lawful).

15. Availability and support

We use commercially reasonable efforts to keep the Service available, excluding planned maintenance, emergencies and events beyond our reasonable control. Support is provided by email at support@routeon.app during business hours (Mountain Time). Any specific service-level commitment applies only if set out in a signed order form.

16. Warranties and disclaimers

Each party warrants that it has the authority to enter into these Terms. We warrant that the Service will perform materially as described in our documentation; your exclusive remedy for breach of this warranty is for us to correct the non-conformity or, if we cannot, to terminate the affected subscription and refund prepaid unused fees.

Except as expressly stated, the Service is provided "as is" and "as available", and to the maximum extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and that the Service will be uninterrupted or error-free. We are not responsible for vehicle accidents, delays, missed pickups, injuries, or losses arising from transportation services.

17. Indemnification

We will defend you against third-party claims alleging that the Service, as provided by us, infringes their intellectual property rights, and pay resulting damages finally awarded or agreed in settlement, excluding claims caused by Customer Data, third-party services or modifications not made by us.

You will defend and indemnify us against third-party claims arising from your transportation services, Customer Data, messages sent through your workspace, your relationships with Drivers, End Customers and affiliates, or your breach of these Terms or applicable law.

The indemnified party must give prompt notice, reasonable cooperation and sole control of the defence to the indemnifying party.

18. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility. Each party's total liability arising out of these Terms will not exceed the fees paid or payable by you to RouteOn in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, your indemnity obligations, or a party's fraud or wilful misconduct.

19. Term, termination and data export

These Terms apply while you use the Service. You may cancel at any time effective at the end of your current billing period. Either party may terminate for material breach not cured within 30 days of written notice. We may terminate immediately for unlawful use or non-payment after notice.

For 30 days after termination you may export your Customer Data using the Service's export tools. After that we will delete or de-identify Customer Data from active systems within a reasonable time, subject to backups and legal retention requirements. Sections that by their nature should survive (including fees owed, confidentiality, disclaimers, indemnities, limitation of liability and governing law) survive termination.

20. Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in Edmonton, Alberta, except that either party may seek injunctive relief in any competent court. The UN Convention on Contracts for the International Sale of Goods does not apply. Before filing a claim, the parties will try in good faith to resolve the dispute through senior representatives for 30 days.

21. General

  • Changes. We may update these Terms. Material changes will be notified by email or in-app at least 30 days before taking effect; continued use after that date means acceptance.
  • Order of precedence. A signed order form prevails over these Terms, which prevail over documentation.
  • Assignment. Neither party may assign these Terms without consent, except to a successor in a merger, acquisition or sale of substantially all assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (other than payment obligations).
  • Independent parties. No partnership, agency, franchise or employment relationship is created.
  • Notices. Notices to us go to hello@routeon.app; notices to you go to your account owner's email.
  • Entire agreement. These Terms, your Order and the Privacy Policy are the entire agreement. If any provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver.
